This course will cover tax consequences relating to "pass through" entities, focusing primarily on creation and operation of partnerships and limited liability companies.Topics covered will include tax issues that need to be considered before creating a pass through entity and the corresponding tax language that needs to be included in partnership agreements and other operating/owner agreements.Other topics include issues relating to sale or distribution of partnership assets or partnership interests.Prerequisite: Basic Tax Accounting for Lawyers
