3 hours; 3 credits The course will examine current legislative, regulatory, and judicial regulation of the securities markets. It will also consider issues of criminality under other statutes, but the primary focus will be on measures designed to protect investors in the securities markets and on the disclosure requirements that apply to companies that issue securities. The course will also consider corporate governance requirements that apply to publicly traded companies. Aspects of criminality, including corrupt practices, RICO, anti-trust, and fraud, are also covered. Prerequisite: LAW 1101.
