3 credits This is a fascinating course dealing with business combinations. A little history and many new terms will be introduced to help the student get a perspective of the role of business combinations in our current business climate. The terms statutory merger, stock acquisition, and statutory consolidation are differentiated. The historical perspective includes horizontal integration, vertical integration, and merger mania. The course considers why and how firms merge, the effects on capital structure, stock prices and market share. Topics include friendly mergers, unfriendly (hostile) mergers, tender offer, poison pill, greenmail, white knight, pac-man defense, selling the crown jewels, and leveraged buyout. PREREQUISITES: FA-305, FA-308 and AC-330
